Terms of service

These terms govern advisory sessions, custom engineering, retained support, and any other services provided by Adam Dirani.

1. Scope of work

The exact scope of any engagement is defined in writing prior to commencement. For the Brand Diagnostic Session, scope is defined on adamdirani.com and confirmed at booking through Cal.com. For custom work, scope is typically communicated via direct correspondence (e.g. email) and formalised in a memo or invoice.

Payment constitutes your agreement to the scope defined at booking or on the invoice. Any requests, features, or revisions falling outside that defined scope will be quoted and billed as a separate engagement.

2. Brand Diagnostic Session

The Brand Diagnostic Session is a 90-minute advisory session conducted via Cal Video. Payment of USD 1,500 is collected at booking through Cal.com on adamdirani.com. All sales are final.

After the session, you receive a written document summarising what was identified. Delivery is within five business days, though I reserve the right to extend this timeline with notice. The session is diagnostic and advisory — not ongoing coaching, and not implementation work.

Cancellation and rescheduling are handled through Cal.com according to the policy set there at the time of booking. No refunds are issued for cancelled or missed sessions outside that policy.

3. Payment & refunds

All payments are strictly non-refundable unless explicitly agreed otherwise in writing. For custom engineering and consulting engagements, work commences only once the agreed initial payment or invoice is paid.

Session bookings are paid in full at the time of booking. Custom engagements are paid according to the terms stated on the invoice or agreement.

4. Intellectual property

For custom engineering work: upon full payment of the final project invoice, you own the rights to the custom code and architecture implemented in your store or systems. Until full payment is received, all intellectual property remains the property of Adam Dirani.

For advisory sessions: you retain ownership of your brand materials and business information. The session document is provided for your internal use. It may not be resold, published, or distributed publicly without permission. I retain rights to my methodology, frameworks, and approach.

5. Liability & platform changes

Advisory sessions provide professional opinion on creative and commercial positioning. They do not guarantee specific business outcomes, revenue growth, or market performance.

For custom engineering work on third-party platforms (e.g. Shopify): deliverables are provided to function as specified at the time of handover. I am not liable for breakages caused by future platform updates, third-party app installations, or modifications made by you or other developers after the project is completed. Fixing such breakages is billable as a new engagement.

Under no circumstances shall my total liability for any claim arising out of an engagement exceed the total amount paid by you for that specific engagement. I am not liable for indirect damages, lost revenue, or operational downtime.

6. Communication

The Brand Diagnostic Session takes place on Cal Video at the booked time. For custom engagements, communication is handled directly via email or another channel agreed in the scope. Scheduled meetings outside the booked session are not part of a custom engagement unless explicitly included in the agreed scope.

7. Indemnity & dispute resolution

You agree to indemnify and hold Adam Dirani harmless against any claims, damages, or legal fees arising from your business operations, store content, products, or use of deliverables.

In the event of a dispute that cannot be resolved mutually, both parties agree to settle the matter through binding arbitration in Australia, rather than through public litigation.
