Terms of service
These terms govern all custom engineering, retained support, and advisory services provided by Adam Dirani.
1. Scope of work
The exact scope of any engagement is defined in writing prior to commencement. This is typically communicated via direct correspondence (e.g., email or WhatsApp) and formalised in the memo or footer of the Stripe invoice.
Payment of an invoice constitutes your agreement to the scope defined on that invoice. Any requests, features, or revisions falling outside that defined scope will be quoted and billed as a separate engagement.
2. Payment & refunds
Due to the bespoke nature of custom engineering and architectural consulting, all payments are strictly non-refundable. Work commences only once the initial invoice is paid.
For the $800 Architecture & Creative Review: If you proceed with a full custom build based on the review's blueprint, the $800 fee will be credited towards the final project invoice. This credit is valid for 6 months from the date the review is delivered and applies only to full builds, not minor bespoke tasks.
3. Intellectual property
Upon full payment of the final project invoice, you own the rights to the custom code and architecture implemented in your store. Until full payment is received, all intellectual property remains the property of Adam Dirani.
4. Liability & platform changes
Shopify is a dynamic, third-party platform. Custom architecture and code are delivered to function as specified at the time of handover. I am not liable for breakages caused by future Shopify platform updates, third-party app installations, or code modifications made by you or other developers after the project is completed. Fixing such breakages is billable as a new bespoke engagement.
Under no circumstances shall my total liability for any claim arising out of the work exceed the total amount paid by you for that specific project. I am not liable for indirect damages, lost revenue, or operational downtime.
5. Communication
Engagements are conducted directly. To maintain speed and clarity, project communication is handled asynchronously via email or WhatsApp. Scheduled meetings are not part of the standard workflow unless explicitly agreed upon in the project scope.
6. Indemnity & dispute resolution
You agree to indemnify and hold Adam Dirani harmless against any claims, damages, or legal fees arising from your store’s content, products, or business operations.
In the unlikely event of a dispute that cannot be resolved mutually, both parties agree to settle the matter through binding arbitration in Australia, rather than through public litigation. This ensures a private, efficient resolution.
